END USER LICENSE AGREEMENT (EULA)

Appshero Apps is licensed to You (End-User) by Appshero LTD,
Suite 3, 567 Fulham Road, London, England, SW6 1ES,
for use only under the terms of this License Agreement.

By downloading the Applications from the Apple App Store, and any updates (as permitted by this License Agreement), You agree to be bound by this License Agreement.

Apple is not a party to this License Agreement and has no obligations regarding the Application (warranty, liability, maintenance, support). Appshero LTD is solely responsible for the Application and its content.

This License Agreement does not conflict with the latest App Store Terms of Service. All rights not expressly granted to You are reserved.

1. THE APPLICATION

Appshero Apps (the “Applications”) are Appshero’s mobile applications, including:

  • applications and games (each an “App”, collectively “Apps”)

  • related documentation and services

  • any images, logos, music, photographs and video content incorporated into the Apps (“App Content”)

All Apps and App Content are owned, operated, and managed by Appshero LTD (“we / us / our”).

Industry-specific compliance notice:
The Applications are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.).
If your interactions are subject to such laws, you may not use these Applications.
You also may not use the Applications in a way that violates the Gramm-Leach-Bliley Act (GLBA).

2. SCOPE OF LICENSE

2.1 License grant

You are given a non-transferable, non-exclusive, non-sublicensable license to install and use the Application on any Apple-branded Products that You own or control, in accordance with:

  • the Usage Rules in this section, and

  • the App Store Terms of Service

Except: the Application may be accessed by other accounts associated with You via Family Sharing or volume purchasing.

2.2 Updates

This license also governs updates that replace, repair, or supplement the Application unless a separate license is provided for an update.

2.3 Restrictions: sharing & redistribution

You may not:

  • share or make the Application available to third parties (unless allowed by Apple Terms and Appshero’s prior written consent)

  • sell, rent, lend, lease, or redistribute the Application

2.4 Restrictions: reverse engineering

You may not:

  • reverse engineer, translate, disassemble, decompile

  • integrate, remove, modify, combine

  • create derivative works, adaptations, or updates

  • attempt to derive source code

Except with Appshero’s prior written consent.

2.5 Copying & backups

You may not copy or alter the Application, except as allowed by this license and Usage Rules.

Backups:

  • You may create/store copies only on devices You own/control

  • only for backup purposes

  • subject to this license, App Store Terms, and device/software terms

You may not remove intellectual property notices.
You acknowledge no unauthorized third parties may access these copies.

2.6 Enforcement

Violations (including attempts) may lead to prosecution and damages.

2.7 License changes

Licensor may modify licensing terms and conditions.

2.8 Third-party terms

Nothing here restricts third-party terms.
When using the Application, You must comply with applicable third-party terms and conditions.

3. TECHNICAL REQUIREMENTS

3.1 Firmware

Applications require firmware version 1.0 or higher.
Licensor recommends latest firmware.

3.2 Updates & compatibility

Licensor tries to keep Applications updated for new firmware/hardware.
You do not have rights to demand such updates.

3.3 User responsibility

You are responsible for confirming your device meets technical specs.

3.4 Specification changes

Licensor may change technical specifications at any time.

Apple, Apple logo, iPad are trademarks of Apple Inc.

4. MAINTENANCE AND SUPPORT

4.1 Licensor support

Licensor (Appshero LTD) is solely responsible for maintenance/support.
Contact email is listed in the App Store Overview.

4.2 Apple disclaimer

Apple has no obligation to provide maintenance/support.

5. USE OF DATA

Licensor may access and adjust:

  • downloaded Application content

  • your personal information

Such use is governed by:

6. USER GENERATED CONTRIBUTIONS

The Application does not generally offer users to submit/post content.
However, if Contributions are allowed, they may include:

  • text, writings

  • video, audio

  • photographs, graphics

  • comments, suggestions

  • personal information or other material
    (collectively, “Contributions”)

Contributions may be visible to other users and third-party sites, and are handled under the Privacy Policy.

By creating/submitting Contributions you represent and warrant that:

  1. Your Contributions do not infringe any third-party rights (copyright, patent, trademark, trade secret, moral rights).

  2. You own or have rights/permissions to use and authorize use of Contributions.

  3. You have written consent for any identifiable persons in Contributions.

  4. Contributions are not false, inaccurate, or misleading.

  5. Contributions are not unsolicited ads, spam, pyramid schemes, chain letters, etc.

  6. Contributions are not obscene, violent, harassing, defamatory, or otherwise objectionable.

  7. Contributions do not ridicule, mock, intimidate, or abuse anyone.

  8. Contributions do not harass/threaten or promote violence.

  9. Contributions do not violate laws or regulations.

  10. Contributions do not violate privacy/publicity rights.

  11. Contributions do not solicit info from minors or exploit minors.

  12. Contributions do not involve child pornography or harm minors.

  13. Contributions do not include offensive comments tied to race, nationality, gender, sexuality, disability.

  14. Contributions do not violate these Terms or link to violating material.

Violation may lead to termination/suspension of access.

7. CONTRIBUTION LICENSE

  • We may access, store, process, and use data you provide according to the Privacy Policy and your settings.

  • By submitting suggestions/feedback you allow us to use/share it for any purpose without compensation.

  • We do not claim ownership of your Contributions.
    You keep all rights to your Contributions and related IP.

  • We are not liable for statements in your Contributions.
    You are solely responsible, and agree not to pursue legal action against us regarding your Contributions.

8. LIABILITY

Licensor is not responsible for damages caused by your breach of Section 2.

To avoid data loss, you must use backup functions where allowed.

If the Application is altered/manipulated, you may lose access.

9. WARRANTY

9.1 Basic warranty

Licensor warrants that at download time the Application is free from malware and works as described in documentation.

9.2 Warranty exclusions

No warranty for Applications that are:

  • not executable on your device

  • modified without authorization

  • handled inappropriately

  • combined/installed with incompatible hardware/software

  • used with inappropriate accessories

  • affected by causes outside Appshero’s control

9.3 Defect reporting

You must inspect immediately after install and report defects within 3 days of discovery via Product Claims email.

9.4 Remedy

If defect confirmed, Appshero may:

  • fix the defect, or

  • provide a substitute delivery

9.5 App Store refund

If the App fails to conform to warranty:

  • notify App Store Operator

  • purchase price refunded

To the max extent allowed by law, App Store Operator has no other warranty obligation.

9.6 Limitation period

For entrepreneurs: claims expire after 12 months from availability.
For consumers: statutory limitation periods apply.

10. PRODUCT CLAIMS

Appshero (not Apple) is responsible for claims relating to:

  • product liability

  • legal or regulatory compliance failures

  • consumer protection/privacy legislation

  • HealthKit/HomeKit related claims

11. LEGAL COMPLIANCE

You represent and warrant that:

  • you are not in a U.S. embargoed country

  • you are not in a country designated as supporting terrorism

  • you are not on any U.S. restricted parties list

13. TERMINATION

License is valid until terminated by Appshero or You.

Your rights terminate automatically without notice if you breach terms.

Upon termination you must:

  • stop using the Application

  • destroy all copies (full/partial)

14. THIRD-PARTY TERMS & BENEFICIARY

Appshero will comply with applicable third-party terms when using the Application.

Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against You after your acceptance.

15. INTELLECTUAL PROPERTY RIGHTS

If a third party claims the Application infringes IP rights, Appshero (not Apple) is solely responsible for:

  • investigation

  • defense

  • settlement

  • discharge of claims

17. MISCELLANEOUS

17.1 Severability

If any term is invalid, others remain valid.
Invalid term will be replaced with a valid one closest to original intent.

17.2 Amendments

Changes are valid only in writing.
This requirement may be waived only in writing.

18. SUBSCRIPTIONS

18.1 Trial

We may offer a free or paid trial.

Unless you cancel 24 hours before trial ends, you will be charged the price shown on:

  • payment screen and/or

  • Apple payment pop-up

If a trial exists, it will be clearly stated before checkout.
If not stated, you purchase without trial.

18.2 Subscription renewal

Subscriptions renew automatically for the same period (week/month/6 months/year/etc.).

Your account is charged within 24 hours prior to period end.

If you cancel auto-renewal in the last 24 hours, cancellation applies after the new period ends.

18.3 Payment method

Payment is charged to your Apple payment method upon confirmation (Touch ID/Face ID/etc.) or when trial ends.

You authorize charges for all applicable fees.

18.4 Cancellation

You must cancel before renewal to avoid next-period billing.

  • If purchased via App Store, manage/cancel in Apple subscription settings (see Apple Support).

  • Uninstalling the App does not cancel the subscription.

18.5 Refunds

If purchased on App Store, refunds (if eligible) must be requested from Apple via Apple Support instructions.

18.6 Changes to pricing

To the max extent allowed by law, we may change fees anytime.

We will notify you by:

  • posting new prices in the app, and/or

  • email, and/or

  • other prominent notice

If you don’t agree, cancel before changes take effect.
